1. INTRODUCTION

Welcome to The Lifestyle Access Ltd ("Company," "we," "our," "us").

By accessing or using our website and mobile application (the "Platform"), you agree to be bound by these Terms & Conditions ("Terms").

2. DEFINITIONS

Platform: The website and mobile application owned and operated by The Lifestyle Access Ltd.

Users: Any individual or entity registered on the Platform.

Venues: Nightclubs, bars, and other establishments listed on the Platform.

Promoters: Third-party users who facilitate event promotions and bookings.

Services: The functionalities available through the Platform, including booking, promotions, and

reviews.

Bookings: Reservations made through the Platform for access to venues or related services.

Third-Party Payment Provider: The external service handling financial transactions on behalf of

the Company.

3. JURISDICTION & GOVERNING LAW

These Terms are governed by the laws of England and Wales. However, users may have additional consumer rights under the laws of their respective countries, and these Terms shall not override mandatory legal protections in such jurisdictions.

4. USER ACCOUNTS & REGISTRATION

Users must register an account to access certain features of the Platform.

You warrant that all information provided is accurate and up to date.

You are responsible for safeguarding your login credentials.

We reserve the right to suspend or terminate accounts at our discretion.

5. MINIMUM AGE REQUIREMENT

The Platform is only available to users who are 18 years or older. By using the Platform, you confirm that you meet this requirement.

6. PAYMENT TERMS

Users make payments via the Third-Party Payment Provider.

Funds are held temporarily before being transferred to the relevant venue or promoter.

We may deduct a commission or administrative fee from payments before disbursement.

Users agree that the Company is not liable for payment disputes between users and

venues/promoters.

Chargebacks and payment disputes will be handled by the Third-Party Payment Provider in

accordance with their policies.

Excessive chargebacks may result in account restriction.

7. CANCELLATIONS & REFUNDS

Refunds and cancellations depend on the stage of the transaction:

- If funds are still held by the Third-Party Payment Provider, refund requests may be honored.

- If funds have been transferred to a venue/promoter, refund policies of the respective party apply.

- The Company is not responsible for issuing refunds once funds are transferred.

- Users must resolve refund disputes directly with the venue or promoter.

8. NON-SOLICITATION CLAUSE

Users, including promoters and venues, agree not to conduct bookings or transactions outside the Platform for a period of 12 months after a booking or service facilitated by the Platform. Violation of this clause may result in account suspension or legal action

9. USER REVIEWS & CODE OF CONDUCT

Users may leave Ratings and Reviews, provided they:

- Are honest, fair, and respectful.

- Do not engage in harassment, hate speech, or misleading statements.

- Do not manipulate ratings by incentivizing or fabricating reviews.

We reserve the right to remove any reviews violating these standards.

10. LIABILITY LIMITATIONS

The Company does not guarantee venue access, event success, or user interactions.

We are not liable for any damages, losses, or claims arising from bookings, venue operations, or

disputes.

Our total liability, if any, shall not exceed the total fees paid by the user in the last 12 months.

11. DISPUTE RESOLUTION

Where required by law, users may retain the right to pursue claims in their local courts rather than through arbitration.

This clause does not limit any statutory dispute resolution rights users may have in their country of residence.

12. INTELLECTUAL PROPERTY RIGHTS

Users retain ownership of any content they submit (e.g., reviews, comments) but grant The Lifestyle Access Ltd a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content for promotional and operational purposes.
